MONOKO — AFFILIATE PROGRAM TERMS (ADDITIONAL)
Last Updated: 2026-05-17 Effective Date: The Affiliate Program opens at the Grand Launch phase-start date published in Monoko-Program-Rules §1 (currently 29 October 2026). Affiliate applications open and provisional approvals on dates published in §2.1 below and (where time-bounded) in the Program Rules.

PREAMBLE — ADDITIONAL CONSENT
These Affiliate Program Terms ("Affiliate Terms") apply in addition to, and are incorporated into, the Monoko Terms and Conditions of Service — Main V4 ("Main T&C"), together with the Pricing Schedule (Monoko-Pricing-Schedule) and the Program Rules (Monoko-Program-Rules). They are not a substitute for the Main T&C: by enrolling in the Affiliate Program, You confirm that You continue to be bound by the Main T&C and additionally agree to these Affiliate Terms.
In the event of conflict between these Affiliate Terms and the Main T&C, these Affiliate Terms control with respect to the Affiliate Program only. All other terms (including §6 No Refund, §7 IP, §12 PDPA, §14 Limitation of Liability, §17 Dispute Resolution) are governed by the Main T&C. Phase calendar, eligible-SKU table, and anti-fraud thresholds are governed by the Program Rules and Pricing Schedule, and updates to those documents apply prospectively without re-acceptance per Main T&C §18.
PLAIN LANGUAGE — TOP TERMS:
- Beta + Public Beta are CLOSED for Affiliate. The Affiliate Program opens at Grand Launch (date in Program Rules §1). Beta + Public Beta = no Affiliate commission.
- Tier 20% / 22% / 25% × 12 months per referred User. Promotion to Growth/Elite requires sustained MRR + 60-day retention.
- Commission base = the actual amount the User paid. Bonus credits are NOT commissionable.
- Beta-grad Yearly Lock pays NO commission (CF1). Founder Slot 2× carry pays NO commission (CF2).
- 12-month commission cap per referred User.
- Last-click 90-day cookie, anti-self-referral controls.
- Auto-pause Elite tier if cohort fraud rate exceeds the published threshold; minimum-cohort floor applies (see Program Rules §7).
- Tax: You pay it. Singapore IRAS / Thailand RD withholding may apply.
1. DEFINITIONS
Capitalized terms not defined here have the meaning given in the Main T&C §2. References to phase windows, SKU codes, prices, and program thresholds are to the then-current Pricing Schedule and Program Rules.
- "Affiliate" — a User who has been approved into the Affiliate Program and holds an active Affiliate account.
- "Affiliate Program" — the cash-commission referral program described in these Affiliate Terms.
- "Commission" — the cash payout earned by an Affiliate on a Referred User's qualifying subscription payment(s).
- "MRR-equivalent" — the rolling 30-day Monthly Recurring Revenue attributable to an Affiliate's active Referred Users (Yearly subscriptions counted as
Yearly Price ÷ 12). - "Referred User" — a new User who signs up via Your Affiliate link, completes the activation gate (§3.2), and pays for a qualifying subscription.
- "Tier" — Starter (20%), Growth (22%), or Elite (25%) commission tier, as defined in §4.
- All Main T&C definitions (Auto-Pilot, Beta-grad Yearly Lock, Bonus Credit, Founder Slot, Founders' Bonus, etc.) apply.
2. ELIGIBILITY & ENROLLMENT
2.1 Affiliate Program Phase Coverage. Affiliate Commission availability across Promotional Phases (Beta, Public Beta, Grand Launch) is set out below. The specific calendar windows for each Promotional Phase are published in Monoko-Program-Rules §1 and may be updated prospectively per Main T&C §9.

Affiliate applications open approximately 30 days before GL phase-start; provisional approvals approximately 7 days before GL phase-start; commission accrual starts at GL phase-start (currently 29 October 2026 per Program Rules §1).
2.2 Eligibility Criteria. To enroll, You must:
(a) be at least 18 years old (or the age of legal majority in Your jurisdiction) and meet all eligibility requirements in Main T&C §8.1–§8.2 (sanctions, age, jurisdiction); (b) hold an active Monoko account in good standing; (c) provide a verified mobile telephone number for KYC (required for Yearly attribution); (d) provide accurate identity, banking, and tax information for payout; and (e) accept these Affiliate Terms by ticking the additional Affiliate consent checkbox at enrollment, including the tax-form, CRS/FATCA, and payout-disclosure acknowledgements in §9.1.
2.3 Activation Gate. Your Affiliate account becomes active for commission accrual only after You have:
(a) been a Monoko User for at least 30 calendar days; AND (b) generated ≥10 ads within the Service.
Activity prior to activation does not earn Commission.
2.4 Account Approval at Monoko's Discretion. Monoko reserves the right to refuse, suspend, or revoke Affiliate approval at its sole discretion, including (without limitation) for failure to meet the activation gate, suspected fraud, breach of Main T&C §8 prohibited conduct, or unsuitability of the Affiliate's marketing channels.
2.5 Affiliate Application Form. At minimum, application requires: phone (KYC), primary marketing channel, estimated monthly referral volume, payout method (bank / PromptPay / Wise), and tax identification (IRAS for Singapore residents; Thai TIN for Thailand residents). Default tier on approval = Starter (20%).
(a) Tax-form collection for non-SG/TH-resident Affiliates. Affiliates resident or domiciled outside Singapore and Thailand must, before any Commission payout, complete and submit: (i) IRS Form W-9 (for U.S. persons) or IRS Form W-8BEN / W-8BEN-E (for non-U.S. persons claiming applicable U.S.-treaty benefits or certifying foreign status), as required for compliance with U.S. FATCA and U.S. Internal Revenue Code §1441 et seq.; (ii) applicable CRS / FATCA self-certification (tax-residency declaration) where Monoko or its payment processor is a Reporting Financial Institution; (iii) any further tax-residency or beneficial-ownership documentation reasonably requested by Monoko or its payment processor.
Failure to complete the foregoing forms blocks Commission payout indefinitely, even where Commission has accrued; accrued amounts are not forfeited solely on this ground but are held until the forms are received and verified. Monoko may refresh form collection on a 3-year cycle or upon any change of tax residency.
(b) Set-off authorization for clawback. By submitting the Affiliate application, You expressly authorize Monoko to set off any clawback amount, refund-fraud loss, or other amount owed by You to Monoko under these Affiliate Terms or the Main T&C against any pending or future Commission accruals or other amounts Monoko owes You, in accordance with §6 and Main T&C §15.
3. REFERRAL MECHANICS
3.1 Referral Link. Upon activation, Monoko issues You a unique Affiliate referral link associated with Your account. Sharing the link is the sole mechanism for attribution.
3.2 Activation of a Referred User's Subscription. A Referred User's subscription becomes commissionable when:
(a) the Referred User clicks Your Affiliate link; (b) signs up as a new account (no prior Monoko account associated with that User by IP, device, payment method, email domain, or KYC phone); (c) successfully completes 3DS Strong Authentication on the first paid charge; AND (d) the cookie attribution rules in §3.3 apply.
3.3 Cookie Attribution — 90-Day Last-Click.
(a) The attribution cookie has a window of 90 calendar days from the click. (b) Attribution rule = last click wins within the 90-day window. (c) Cross-device attribution is best-effort and depends on User identifiers (logged-in account, email at signup, payment-method hash). (d) Affiliate links presented after a User has already signed up via another channel do NOT generate attribution.
3.4 Rate-Lock at Referral. The Commission rate (20% / 22% / 25%) attributable to a Referred User is locked at the Affiliate's tier as of the Referred User's signup date, for the duration of that User's 12-month commission window. Subsequent Affiliate tier promotions or demotions do not change the rate on already-attributed Users.
3.5 Eligible Subscription SKUs. Commission accrues on the following SKUs paid by Referred Users (as defined in Monoko-Pricing-Schedule):

Note: Both Beta T1 Monthly and Founder Slot Monthly are closed for Affiliate Commission because the Affiliate Program is wholly closed during Beta and Public Beta. Founder Slot is also separately excluded for KOS Commission for margin-protection reasons (see Monoko-KOS-Terms §3.4); that KOS-side exclusion is mentioned only for reader orientation and is irrelevant to Affiliate.
4. COMMISSION STRUCTURE
4.1 Three Tiers — Promotion Gates.

(a) "Rolling 30-day MRR" means the sum of MRR-equivalent across all Your active Referred Users in the prior 30 days. Yearly subscriptions are counted as Yearly Price ÷ 12.
(b) "Retained ≥ 60 days" definition. "Retained ≥ 60 days" means: (i) at least 60 days have elapsed since Your earliest Referred User signup that contributes to the MRR-equivalent threshold; AND (ii) no Referred User in Your active cohort has been refunded under Main T&C §6.6 cooling-off, charged back, or terminated by Monoko for cause under Main T&C §16.2 within those 60 days; AND (iii) the cohort's net retention rate is ≥ 80% over the 60-day window. "Material churn" means cohort net retention < 80% over the 60-day window.
(c) Promotion is automatic via daily cron evaluation; the Affiliate dashboard displays "MRR last 30 days = $XXX / $500 target" to make progress visible.
(d) Demotion. If MRR-equivalent falls below the threshold for the Tier and remains below for 30 consecutive days, the Tier downgrades. The new lower rate applies only to new Referred User signups; existing Referred Users remain at their rate-locked rate per §3.4.
4.2 Commission Base — User-Paid Amount. The Commission base is the actual amount paid by the Referred User for the eligible subscription, NOT retail × 12, NOT including the cost of Bonus Credits.
Illustrative examples (based on Pricing Schedule V1; commission base updates automatically with future Pricing Schedule changes per Main T&C §5):
- GL PRO Yearly $384 paid → Starter 20% = $76.80; Growth 22% = $84.48; Elite 25% = $96.00
- GL ULTRA Yearly $984 paid → Starter 20% = $196.80; Growth 22% = $216.48; Elite 25% = $246.00
- GL PRO Monthly $39 paid → Starter 20% = $7.80/mo; Elite 25% = $9.75/mo (× 12-mo cap)
- GL ULTRA Monthly $99 paid → Starter 20% = $19.80/mo; Elite 25% = $24.75/mo (× 12-mo cap)
4.3 Bonus Credits Not Commissionable. Founders' Bonus credits, Beta-grad Yearly Lock bonus credits, FGF rewards, Founder Slot 2× carry credits, and any other Bonus Credit are NOT part of the Commission base. (Main T&C §11.5.)
4.4 Enterprise Interim Affiliate Commission.
(a) Rate: 25% of the first-year discounted contract value. (b) Manual payout after Day 7 (post-payment authentication / settlement confirmation) — not auto-paid through the standard self-serve subscription checkout. (c) Volume tier negotiation (≥10 seats): 10–15% off retail × volume (per Pricing Schedule §6); Affiliate Commission base = the discounted contract value. (d) Enterprise interim attribution requires explicit Joe + PIPE approval.
4.5 12-Month Commission Cap per Referred User. The total Commission paid on any single Referred User's subscriptions is capped at 12 calendar months from that User's signup date, regardless of subscription continuation, plan changes, or upgrades. After 12 months, no further Commission accrues on that Referred User even if the User remains a paying subscriber.
4.6 Retention-Offer Attribution Break (CF1, CF2).
(a) Beta-grad Yearly Lock (CF1). When a Referred User on a Beta Tier 1 or Founder Slot subscription transitions to the Beta-grad Yearly Lock SKU (*_BETA_GRAD_Y), attribution is broken at the SKU change. No Commission is paid on the Yearly Lock SKU. Commission earned on the prior Monthly subscription (Months 1–6 of Beta) is not retroactively clawed back.
(b) Founder Slot 2× GL Bonus carry (CF2). Bonus credits issued to Founder Slot users on GL Monthly step-up generate no additional Commission. The Commission base remains the GL Monthly subscription price per §4.2; the 2× bonus carry is a non-commissionable retention reward.
4.6A Retention-offer attribution examples.

4.7 Founders' Bonus Window. Affiliate-attributed signups during the Founders' Bonus Window (dates in Monoko-Program-Rules §4.1) do qualify for the Founders' Bonus to the User; Commission is calculated on the subscription price (not including the Bonus Credit cost) per §4.2 and §4.3.
4.7A Public Beta Carry-User Step-Up. Where a Referred User is a "Public Beta carry-user" (Main T&C §11.4A) and steps up to GL Monthly during the Founders' Bonus Window, no Founders' Bonus credits are issued to that User; however, the underlying GL Monthly subscription remains commissionable for the Affiliate at the standard rate per §4.2. The bonus exclusion is User-side only and does not affect Affiliate Commission accrual.
5. PAYOUT SCHEDULE
5.1 Monthly Subscriptions — Accrual + 14-Day Hold. Commission for Monthly subscriptions accrues at each successful invoice.paid event. Payout is released after a 14-day hold (chargeback-shield buffer).
5.2 Yearly Subscriptions — Accrual ÷12 + 60-Day Escrow. For non-Elite Affiliates, Commission on Yearly subscriptions accrues as Yearly Commission ÷ 12 per month, with a 60-day escrow before each monthly accrual is released.
5.3 Yearly Subscriptions — Elite Tier Additional Escrow. For Elite-tier Affiliates, in addition to the 60-day escrow in §5.2, fifty percent (50%) of each Yearly accrual is held an additional sixty (60) days — so 50% releases at Day 60 from accrual; the remaining 50% releases at Day 120.
5.4 Minimum Payout. As published in Monoko-Pricing-Schedule §7.1 (currently USD $15, approximately ฿500). Balances below the minimum roll over to subsequent payout cycles.
5.5 Payout Methods. Bank transfer (SG / TH), PromptPay (TH), Wise, or other methods Monoko publishes. Cash payouts only — no Credits in lieu (mirror of FGF rule). Where payout is denominated in THB, the USD→THB FX rate is locked at the close of the calendar month preceding the payout, using the Bank of Thailand mid-rate published on the last business day of that month.
5.5A FX disclosure on payout statement. Each payout statement must show, at minimum, the original USD Commission amount, payout currency, Bank of Thailand mid-rate used, conversion date, converted THB amount, withholding amount (if any), payout method, and released-versus-held accrual balance.
5.6 Payout Schedule. Monthly batch on or about the 15th of each calendar month for accruals released in the prior calendar month, subject to §5.4 minimum and §5.7 tax withholding.
5.7 Tax Withholding.
(a) Singapore Affiliates. Monoko may withhold income tax on Affiliate Commission payouts as required by Singapore Income Tax Act and IRAS guidance. A Singapore Affiliate is responsible for declaring and paying any further tax due.
(b) Thailand Affiliates. Monoko may withhold Thai withholding tax (typically 3% on service income) on Commission payouts as required by the Thailand Revenue Code; an annual withholding certificate (Phor Ngor Dor 50/50 ทวิ) will be issued.
(c) Other Jurisdictions. Affiliates in other jurisdictions are responsible for self-declaration and payment of all applicable taxes.
(d) Monoko may issue an IRS Form 1099-NEC (or equivalent jurisdictional reporting form) where required by law for any Affiliate who has provided a W-9 under §2.5(a) and earned more than the applicable reporting threshold (currently USD 600 per calendar year for U.S. persons). For non-U.S. persons, equivalent reporting may be made under FATCA and/or CRS, in line with the documentation collected under §2.5(a).
5.8 Tax Responsibility. Notwithstanding §5.7, You are solely responsible for any income tax, business tax, GST/VAT, social security, or other tax obligation arising from Affiliate earnings. Monoko's withholding does not relieve You of any further obligation. Indemnification under Main T&C §15.1(f) applies.
6. CLAWBACK & FRAUD CONTROLS
6.1 Refund / Chargeback Clawback. Where a Referred User's subscription payment is refunded under Main T&C §6.6 (mandatory cooling-off), reversed by chargeback, or otherwise unwound, the corresponding Commission is clawed back:
(a) Monthly: clawback within the applicable Merchant of Record / card-network dispute window (typically 30 days unless the processor or card-network rules specify otherwise). (b) Yearly: clawback within the 60-day chargeback escalation window. (c) Clawback applies even if the Commission has already been paid out; clawed-back amounts may be deducted from future Commission accruals or recovered as a debt to Monoko.
6.2 Anti-Self-Referral Controls.
(a) IP address, device fingerprint, payment-method hash, and email-domain match are checked at activation. (b) KYC phone is required for any Yearly attribution. (c) Linked-account / household-account block — no own-household referrals. (d) Auto-flag if conversion rate >20% from a single IP/device/email-domain source. (e) Self-referral attempts result in immediate forfeiture of the Commission and potential Affiliate termination (§7).
6.3 Weekly Fraud Monitor. Per Main T&C §8.8 and Monoko-Program-Rules §7 — Monoko monitors Affiliate cohorts for fraud signals. Where cohort-level fraud signals exceed the published threshold (currently 5% with a 20-active-Referred-User cohort floor; subject to prospective tuning in Program Rules §7.4), Monoko may:
(a) auto-pause Elite tier promotions for that Affiliate; (b) hold Commission in extended escrow pending review; (c) suspend the Affiliate account pending investigation.
Cohorts below the published minimum-cohort floor are reviewed individually within 14 calendar days rather than triggered by a percentage threshold. Monoko provides a concise reason code where lawful and operationally safe, and limits any hold or pause to the scope reasonably necessary to investigate suspected fraud.
6.4 Account Ban on Successful Chargeback Vector. Per Main T&C §6.8 / §8.9, a Referred User cohort with chargebacks indicating Affiliate-orchestrated fraud results in immediate Affiliate account suspension and Commission forfeiture.
6.5 No Affiliate-Acquired Cap. Monoko does not cap the ratio of Affiliate-acquired to total paid base. A visibility dashboard tracks the ratio without auto-freeze trigger.
7. TERMINATION OF AFFILIATE STATUS
7.1 Termination by You. You may resign as an Affiliate at any time by emailing affiliate@monoko.ai. Pending Commissions accrued before resignation will be paid per §5 schedule. Your Monoko User account may continue (subject to Main T&C §16).
7.2 Termination by Monoko — For Cause. Monoko may terminate Your Affiliate status, with or without notice, for:
(a) breach of these Affiliate Terms or the Main T&C; (b) self-referral, sock-puppet referrals, household referrals, or any anti-fraud violation; (c) inactivity (no qualifying Referred User signup in 6 months); (d) cohort fraud rate exceeding the published threshold (Program Rules §7) for two consecutive monitor cycles; (e) successful chargeback orchestration; (f) misrepresentation of Monoko, the Service, or Affiliate Program in marketing communications; (g) violation of advertising-platform policies (Meta, Google, TikTok, etc.) by way of Affiliate marketing materials; (h) any ground in Main T&C §8.7.
7.3 Effect of Termination.
(a) Your Affiliate referral link is disabled immediately. (b) Pending Commissions for Referred Users in good standing (no clawback trigger) are paid per §5 schedule, subject to extended escrow at Monoko's discretion. (c) Commissions related to fraud or termination-for-cause are forfeited. (d) The 12-month rate-lock for previously attributed Referred Users continues to operate during their commission cap period only if Your Affiliate account is in good standing on each accrual date; termination forfeits future accruals.
7.4 Survival. §4.6 attribution lock, §6 clawback, §5.8 tax responsibility, Main T&C §15 indemnification, and Main T&C §17 dispute resolution survive termination.
8. CONDUCT OF AFFILIATE MARKETING
8.1 Truthful Marketing. Affiliates must accurately represent Monoko, the Service, pricing, and program features. False, deceptive, or misleading claims are prohibited and may trigger regulatory exposure under FTC Endorsement Guides, Thai CPA, and EU Unfair Commercial Practices Directive.
8.2 FTC #ad / TH consumer disclosure. Affiliate marketing must include clear and conspicuous disclosure of the Affiliate relationship (e.g., "#ad", "advertising", "I earn a commission if You sign up via this link"), in compliance with FTC Endorsement Guides 16 CFR Part 255 and Thai CPA disclosure rules.
8.3 Brand Safety. Affiliates may not place Affiliate links in adult, hateful, illegal, IP-infringing, malware, or other brand-unsafe contexts (mirror of Main T&C §8.7).
8.4 No Cookie-Stuffing / Forced Click. Affiliates may not use cookie-stuffing, iframe injection, forced redirects, typosquatting, paid-search bidding on "Monoko" trademarks without written consent, or any technique that manufactures attribution without genuine user intent.
8.5 No Coupon / Cashback Without Consent. Affiliates may not operate coupon, cashback, or rebate sites that share Affiliate Commission with Referred Users without prior written consent from Monoko.
9. CONSENT — AFFILIATE ENROLLMENT CHECKBOX
9.1 Verbatim Affiliate-Enrollment Checkbox Text.
"☐ I agree to the Monoko Affiliate Program Terms (in addition to the Monoko Terms and Conditions of Service, the then-current Pricing Schedule, and the then-current Program Rules). I understand that: (a) commission is paid only on Grand Launch subscriptions and not on Beta, Founder Slot, Beta-grad Yearly Lock, or Bonus Credits; (b) commission base is the actual user-paid amount, capped at 12 months per referred user; (c) refunds and chargebacks result in commission clawback and may result in account termination, and I authorize Monoko to set off any clawback amount against my pending or future Commission accruals or other amounts owed to me; (d) self-referral, household-account referrals, and other fraud will result in commission forfeiture and account termination; (e) I am responsible for all applicable taxes on commission earnings, and Monoko may withhold tax as required by law; if I am resident outside Singapore and Thailand, I will complete IRS Form W-9 (US persons) or W-8BEN / W-8BEN-E (non-US) and any applicable CRS / FATCA self-certification before any payout, and I understand that failure to do so blocks payout indefinitely; (f) I will comply with all advertising-platform policies and applicable consumer-disclosure requirements (#ad, etc.)."
9.2 Withdrawal of Affiliate Consent. You may withdraw enrollment in the Affiliate Program at any time per §7.1. Withdrawal of Affiliate consent does not affect Your continuing acceptance of the Main T&C as a Monoko User.
10. RELATIONSHIP TO MAIN T&C AND OTHER PROGRAMS
10.1 Subordination. These Affiliate Terms supplement and are subordinate to the Main T&C. Privacy, IP, AI Output, dispute resolution, governing law, limitation of liability, indemnification, and all other matters not specifically addressed herein are governed by the Main T&C.
10.2 No Dual Enrollment Conflict. A User may simultaneously be an Affiliate and a KOS, provided that a single Referred User generates Commission in only one program (last-click cookie + KOS attribution-priority rules apply per Monoko-KOS-Terms §3).
10.3 FGF + Affiliate Coexistence. A User who is also an FGF Inviter is subject to FGF rules in Main T&C §10 for FGF rewards (Credits) and Affiliate Terms for cash Commission. The two reward streams do not stack on the same Referred User; the first attribution event (Affiliate cookie click vs. FGF link signup) wins.
